PRACTICE NOTE 02 · M&A JUDGMENT · 2026
The Deal Is Not
the Decision
Five board tests for reading M&A architecture before price becomes destiny.
01 / THE DECISION SYSTEM
Price is visible. Architecture determines whether value survives.
A model can show an attractive premium while hiding the question the board must actually answer: what will we own, control, surrender, finance and integrate if every condition, approval and remedy is taken seriously?
What are we really buying?
Who can block or reshape it?
What must happen before closing?
What value leaks through the remedy?
What fact reverses the recommendation?
02 / THE EIGHT-DECISION ARCHITECTURE
Build the board advice in the order the decision must be defended.
The method converts a case presentation, investment memo or transaction review into a reversible recommendation with owners, evidence and boundaries.
Mandate
Name the board, the decision date, the exact question and the recommendation in one sentence.
Perimeter
Show what is acquired, what survives, and which assets, rights, liabilities or entities transfer.
Value thesis
Identify the capabilities, IP, talent, access, control and strategic options actually being purchased.
Authority map
Separate board, shareholder, court, regulator, lender and third-party approval or veto rights.
Critical path
Distinguish signing, conditions, remedies, financing, the outside date, funds flow and closing.
Risk to response
Convert each material risk into a term, control, owner, metric and escalation trigger.
Recommendation
State the action, conditions, owner, deadline, value boundary and reversal or walk-away trigger.
Evidence record
Cite the primary record behind every material number, date, legal conclusion and chronology point.
THE TEMPORAL INTEGRITY TEST
Hindsight is not evidence.
If removing a later fact changes the recommendation, find decision-date evidence or state the point as an assumption.
- Verified fact
- Supported by a source available on or before the decision date.
- Assumption
- A proposition to test, value, allocate or convert into a condition.
- Proposed action
- The board advice - not something that has already happened.
- Subsequent outcome
- Later information placed outside the original decision logic.
03 / FIVE REAL-DEAL LENSES
Do not retell the transaction. Reconstruct the decision.
Each case isolates a different form of value leakage: structure, divestiture, enforcement leverage or surrendered option rights.
Adobe / Figma
Can the platform thesis survive the legal structure, regulatory risk and remedy boundary?
The signed agreement used two successive mergers. Merger Sub I would merge into Figma, with Figma surviving; Figma would then merge into Merger Sub II, LLC, which would survive. The parties intended the combined steps to qualify under Section 368(a). That structure must be read from the agreement - not explained through an invented business-unit or MAC theory.
Which remedy preserves legal closing but destroys the collaboration, product, talent or platform thesis?
Bayer / Monsanto
After approximately USD 9 billion in divestitures, does the retained perimeter still justify the price and residual risk?
The U.S. Department of Justice required businesses and assets worth approximately USD 9 billion to be divested for the proposed USD 66 billion acquisition to proceed. The remedy changed the acquired perimeter, competitive position, R&D capability, synergy case and execution plan. It did not erase separate legacy product-liability exposure.
After the remedy, which value sources remain, which liabilities remain, and what evidence is required before funds are released?
LVMH / Tiffany
On 9 September 2020, should Tiffany enforce, renegotiate, prepare to terminate - or combine those strategies?
The analysis begins with the signed agreement, approvals, outside date, extension, French government letter, LVMH's refusal and Tiffany's claim for specific performance. A bounded renegotiation could preserve enforcement leverage while demanding consideration for every concession: less conditionality, a fixed timetable, releases and stronger closing certainty.
What must Tiffany receive for a price concession, and what event ends negotiation and activates the litigation or damages path?
Microsoft / Activision
On 18 July 2023, should the parties extend, litigate, restructure or terminate - and who controls the final sprint?
The board faced an outside-date decision while the UK cloud-gaming objection remained central. The later restructuring transferred defined cloud-streaming rights to independent Ubisoft: non-EEA rights for current Activision PC and console games and games released during the following 15 years. It was not a sale of all Activision assets or a transfer to an Activision subsidiary.
What option value is surrendered, what remains with Microsoft, and who may approve an expansion of the remedy boundary?
Broadcom / VMware
On 12 July 2023, how should Broadcom implement the EU commitments while the UK and China reviews remain open?
The European Commission cleared the acquisition subject to interoperability and source-code commitments directed at FC HBA competition. The board still had to manage two parallel open gates: the UK Phase 2 review and China. Calling one jurisdiction the sole critical path would require decision-date evidence, not knowledge of which approval arrived last. A non-divestiture remedy may still create engineering cost, monitoring obligations and competitive leakage.
What measurable customer, margin, financing or remedy-expansion threshold forces management to return to the board?
04 / FIVE BOARD TESTS
Pressure-test the architecture before the board approves the story.
The legal form, remedy label or headline price is never enough. Each test ends in a question that can change the recommendation.
Decision-date integrity
Would the recommendation still stand if every later fact were removed?
Retained perimeter
Do the strategic asset, talent, control rights and economics survive the structure and remedy?
Value boundary
Is the maximum acceptable concession measurable by geography, duration, control and financial impact?
Protection fit
Does each fee, covenant, insurance policy, guarantee or entity structure protect the correct party and risk?
Executable resolution
Can management identify the action, owner, evidence, deadline and reversal trigger tomorrow morning?
05 / FROM CASE TO CONTROL
Transfer judgment into the next live transaction.
A simulation is useful only when analysis becomes governance. The transfer rule is simple:
Remedy boundary
No remedy package may move beyond the board-approved value boundary without renewed authority.
Temporal integrity
Later facts belong in the outcome record; they cannot silently enter the original decision memo.
Competition control
A hold-separate or clean-team rule must name the concern addressed and the conduct allowed or prohibited.
Concession logic
Every price concession must buy certainty, timing, security, reduced conditionality or retained value.
Critical-path ownership
Every approval, consent, condition and funds-flow gate needs an owner and a failure consequence.
06 / THE BOARD-ADVISORY STANDARD
A strong M&A analysis tells the board what to do, on what conditions, by when, who owns the next step, and what would reverse the advice.
This practice note is derived from Bolívar Business's M&A handbook, deal-architecture canvas, boardroom case lab and ICC simulation method developed through professional practice and executive education.
